Two Proposed Changes to Bylaws at Annual Meeting

There will be two proposed changes to the club bylaws that will be discussed and voted on at the annual meeting this Saturday.

1) Provide meet directors additional protection by adding them to the existing article on indemnification in the bylaws. The wording in [] brackets indicate the additional language.

“Article 13: INDEMNIFICATION
Each Officer[, Director and Meet Director] now or hereafter serving the Club and his respective heirs, executors and personal representatives, shall be indemnified by the Club against expenses actually and necessarily incurred by him in connection with the defense of any action, suit, or proceeding in which he is made a party by reason of being or having been an Officer[, Director, or Meet Director;], except in relation to matters as to which he shall be adjudged in such action, suit, or proceeding to be liable for gross negligence or intentional misconduct in the performance of his duties; but such indemnification shall not be deemed exclusive of any other right to which such person may be entitled under any bylaw, agreement, vote of the board, vote of the members, or otherwise.”

2) Adding a bylaw that would allow us to have chapters in Mat-Su or other regions in the state. The idea is that a chapter would be easier for people to get going than a separate club. The bylaw is purposely vague how exactly a chapter would operate in relation to a club, that would end up being Policy Guidelines that the Executive Board would develop once we actually had people interested in forming a chapter. This by law change would give the board permission to develop this as a option.

“Article 17: CHAPTERS
To promote orienteering more widely throughout the state of Alaska, local chapters maybe established outside of Anchorage by vote of the Executive Board upon petition of at least three members residing in a geographical area. Each chapter shall form its own organization and elect a director that will also serve as a non-voting representative on the Executive Board. The Executive Board shall establish Policy Guidelines as needed to clarify how chapters will operate in relation to the Club.”
